Acceptance of Terms

Welcome to TapIn (“TapIn,” “we,” “our,” or “us”).

These Terms of Service (“Terms”) govern your access to and use of the TapIn application, website, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

Eligibility

You must be at least 13 years old to use the Services.

By using the Services, you represent and warrant that:

• You are legally capable of entering into a binding agreement
• You will comply with these Terms and applicable laws
• You are not prohibited from using the Services under applicable law

Accounts

You may need to create an account to access certain features.

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate and current information

You agree to notify us promptly of any unauthorized access or use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or create risk for TapIn or other users.

The Nature of TapIn

TapIn is designed around lightweight social interaction.

The Services may include features such as:

• Lightweight reactions and acknowledgements
• Invitations and social graph building
• Handles, identity, and profile systems
• Shared content and conversational interactions
• Presence, activity, and interaction indicators
• Private or semi-private sharing surfaces

Some parts of the Services may intentionally reduce visible engagement metrics, public counters, or other forms of social amplification.

Features, visibility models, and interaction mechanics may evolve over time.

User Content

You may create, upload, submit, share, or otherwise make available content through the Services (“User Content”), including:

• Messages and conversational content
• Profile information and identity information
• Taps, reactions, acknowledgements, or interaction signals
• Interaction events, engagement events, or lightweight social gestures
• Images, avatars, and uploaded media
• Invitations and contact associations
• Comments, posts, notes, or shared content
• Other materials made available through the Services

For purposes of these Terms, taps, reactions, interaction events, and similar lightweight engagement signals are considered User Content and activity generated through the Services.

You retain ownership of your User Content.

However, by submitting User Content through the Services, you grant TapIn a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, display, distribute, and process the content solely for the purpose of operating, improving, and providing the Services.

You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate any law or third-party rights
• Your User Content does not infringe intellectual property, privacy, or publicity rights

Social Interactions and Visibility

TapIn may limit, delay, aggregate, summarize, suppress, or otherwise alter how engagement information is displayed.

For example, TapIn may:

• Limit visibility of reactions or counts
• Delay or aggregate engagement information
• Change how interactions are surfaced
• Restrict visibility of social metrics
• Experiment with different presentation models

You acknowledge that TapIn is not obligated to display content, reactions, metrics, reach, visibility, or distribution in any particular manner.

Identity and Handles

You are responsible for activity conducted through your account and handle.

You may not:

• Squat on usernames or handles in bad faith
• Misrepresent identity or affiliation
• Sell or transfer accounts in violation of TapIn policies
• Create deceptive, impersonation, or fraudulent accounts

We reserve the right to reclaim, modify, or remove handles and usernames.

Invitations and Connections

If you invite others to TapIn, you agree to do so responsibly.

You may not use TapIn invitations, messaging, or connection systems for:

• Spam
• Bulk unsolicited outreach
• Harassment
• Fraudulent or deceptive activity
• Unauthorized marketing campaigns

Product Evolution

TapIn is an evolving product.

Features may change substantially over time, including:

• Interaction mechanics
• Visibility systems
• Messaging systems
• Social graph behavior
• Account capabilities
• Availability of specific features

You understand that features may be added, modified, limited, or removed without prior notice.

Acceptable Use

You agree not to:

• Use the Services for unlawful purposes
• Harass, threaten, abuse, or harm others
• Impersonate another person or entity
• Upload malicious code, malware, or harmful content
• Attempt to gain unauthorized access to systems or accounts
• Interfere with the operation or security of the Services
• Use automated systems to scrape or harvest data without authorization
• Distribute spam, scams, or fraudulent content
• Violate intellectual property or privacy rights
• Circumvent restrictions, limits, or safety mechanisms

We reserve the right to remove content or restrict access at our discretion.

Moderation and Enforcement

TapIn may review, remove, restrict, or moderate content or accounts where we believe it is reasonably necessary to:

• Protect users or the public
• Enforce these Terms
• Comply with legal obligations
• Prevent abuse, fraud, or misuse
• Maintain the integrity of the Services

We are not obligated to monitor all content or user activity.

Intellectual Property

The Services, including software, design, branding, graphics, logos, interfaces, and related materials, are owned by TapIn or its licensors and are protected by intellectual property laws.

Except as expressly permitted by these Terms, you may not:

• Copy, modify, distribute, sell, or lease any portion of the Services
• Reverse engineer or attempt to extract source code
• Use TapIn branding without authorization

Feedback

If you provide suggestions, ideas, or feedback regarding the Services, you grant TapIn the right to use that feedback without restriction or compensation.

Connected Services and Integrations

TapIn may allow you to connect, import from, export to, or interact with third-party services, platforms, devices, applications, or providers.

These may include social networks, fitness services, messaging systems, content platforms, wearable devices, health or activity systems, creator programs, accountability groups, or other integrations.

By connecting or using third-party integrations, you authorize TapIn to:

• Exchange information with the connected service
• Import or export content, activity, or interaction data
• Display or distribute content through connected platforms
• Process information necessary to provide integration functionality

You acknowledge that:

• Third-party services operate independently from TapIn
• Third-party services may change, restrict, or discontinue functionality at any time
• TapIn is not responsible for third-party services, content, policies, availability, or behavior
• Imported or exported information may be delayed, incomplete, unavailable, or inaccurate

TapIn may also allow third parties, creators, moderators, organizers, coaches, program providers, or community leaders to provide content, programs, challenges, accountability systems, or group experiences through the Services.

Unless explicitly stated otherwise, these parties are independent and are not employees, agents, or representatives of TapIn.

TapIn does not guarantee:

• Outcomes from participation
• Accuracy of third-party content
• Availability or continuity of programs or groups
• Behavior or conduct of participants or providers

Participation in third-party programs, groups, communities, challenges, or accountability systems is at your own risk.

Third-Party Services

The Services may contain links to third-party websites, products, or services.

We are not responsible for third-party content, policies, or practices.

Your use of third-party services is governed by their respective terms and policies.

Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAPIN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND AVAILABILITY.

WE DO NOT GUARANTEE THAT:

• THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE
• CONTENT WILL ALWAYS BE AVAILABLE OR ACCURATE
• THE SERVICES WILL BE SECURE OR FREE OF HARMFUL COMPONENTS

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAPIN AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND PARTNERS WILL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES
• DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES

IN NO EVENT WILL TAPIN’S TOTAL LIABILITY EXCEED THE GREATER OF:

• ONE HUNDRED U.S. DOLLARS (US $100)
• THE AMOUNT YOU PAID TO TAPIN IN THE TWELVE MONTHS BEFORE THE CLAIM

Indemnification

You agree to indemnify and hold harmless TapIn and its affiliates, officers, employees, contractors, and partners from claims, liabilities, damages, losses, and expenses arising from:

• Your use of the Services
• Your User Content
• Your violation of these Terms
• Your violation of applicable law or third-party rights

Termination

You may stop using the Services at any time.

We may suspend or terminate your access to the Services at any time, with or without notice, if:

• You violate these Terms
• We believe your use creates risk or legal exposure
• We discontinue the Services

Sections of these Terms that by their nature should survive termination will survive.

Changes to the Services

We may modify, suspend, or discontinue all or part of the Services at any time without liability.

Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Any disputes arising from these Terms or the Services will be resolved exclusively in the state or federal courts located in California, and you consent to their jurisdiction.

Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we may provide notice through the Services or by other means.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
